Sam’s practice is focussed on special situations, dealing with both contentious and non-contentious aspects of corporate restructuring and insolvency, distressed financing and mergers and acquisitions. Sam advises a range of corporate clients, funds, and insolvency professionals on various aspects of a transaction. Sam’s experience further covers a range of sectors including logistics, real estate and digital assets.

A separate part of Sam’s practice is advising and working closely with small and medium enterprises on various aspects of their business including advising on regulatory issues, business contracts, corporate governance, fund raising and representation in contentious matters.

Sam graduated from Singapore Management University with an LL.B (Magna Cum Laude). During university, Sam was a regularly fixture on the Dean’s list and was the recipient of the top student prize for Corporate Law. In the traditions of the Bar, Sam believes in passing on to the next generation of lawyers and spends his time outside practice as an adjunct faculty at Singapore Management University conducting classes on the Law and Finance of Corporate Transactions and Restructuring & Insolvency. Sam also contributes to thought leadership and has published articles on restructuring and insolvency.

  • Acted as local counsel for WeWork in connection with its global restructuring through a US Chapter 11.
  • Acted for No Va Land in the restructuring of its USD300 million convertible bonds through the first Singapore pre-pack scheme of arrangement before the Singapore International Commercial Court (reported in Re No Va Land Investment Group Corp [2024] SGHC(I) 17).
  • Acted for the SPGK Pte Ltd before the Court of Appeal and successfully obtained the termination of the automatic moratorium under the UNCITRAL Model Law (reported in Ascentra Holdings, Inc (in official liquidation) and others v SPGK Pte Ltd [2024] SGCA 2).
  • Acted for a private equity fund in its investment into an Indian group in the steel and metals sector.
  • Acted for the Provisional Liquidators of Century Sunshine Group (appointed on a soft touch basis) in its cross-border restructuring involving in excess of HKD3.24 billion of debt, including SGD 101.75m bonds listed on the SGX, through the first parallel pre-pack scheme in Singapore with a scheme of arrangement in Hong Kong.
  • Acted for and advised the liquidators of Three Arrows Capital Ltd in connection with the insolvency of the company.
  • Acted for the Eqonex Group, a digital asset technology group listed on NASDAQ, in connection with a potential restructuring involving extensive negotiations with a strategic investor Binance and advising the Liquidators appointed over Eqonex Capital Pte Ltd in relation to the distribution of cryptocurrencies to customers.
  • Acting as local counsel for Riverbed Technology, LLC (f.k.a Riverbed Technology, Inc.) and its related entities, including its Singapore subsidiary, Riverbed Technology Pte. Ltd., in connection with various rounds of financing leading up to a Chapter 11 restructuring of the Group.
  • Acted for the Kreuz Group, a leading global integrated subsea services business and an active player in the regional subsea, offshore and marine diving space and advising on the restructuring of the Kreuz Group’s existing loan facilities and cross-border security arrangements totalling in excess of USD255 million as well as the negotiations for the new financing of approximately USD70 million.
  • Acted for the Yang Kee Group in connection with its restructuring of debts in excess of SGD450 million, including advising on a global investor search process.
  • Acted for a US-based creditor in an individual voluntary arrangement to restructure in excess of USD435 million of debt.
  • Acted for an Indonesian-based payments and small loans company in its sale to a new strategic investor.
  • Acted as local counsel for an informal steering committee of Noteholders in the Hyflux Group’s USD2 billion restructuring exercise.
